Business Subscription Terms

Draft for review — not approved for publication or signature. Unresolved fields and proposed commitments require business and legal approval.

Version: 2026-10-13-draft

Contracting provider: To be confirmed: legal entity name, To be confirmed: registered address ("SiteAxis"). Effective date/version: To be confirmed: online terms effective date / To be confirmed: online terms version.

These Terms apply when a legally authorized representative of a business subscribes online and no separately signed Master Services Agreement (MSA) governs that subscription. If an MSA is executed for the same account, its stated precedence controls. Individual invited workers are subject to the User Terms but do not become the paying business unless they are authorized to accept an Order on the business's behalf.

1. Definitions and order of documents

"Customer" is the company identified by verified billing and account details. "Authorized User" includes personnel of Customer and independent construction-project participants authorized for approved roles. "Project" is a scoped workspace that may include multiple businesses. "Customer Content" is project information, records, photos, documents, schedules, incident/inspection details, generated records and attached evidence that Customer or authorized participants submit to SiteAxis. "Services" are the cloud-hosted modules enabled under the plan and configuration; not every advertised, beta or roadmap feature is included.

Applicable documents, in descending order for their subject matter: mandatory law and applicable statutory transfer clauses; DPA for personal-data processing; a signed Order or negotiated amendment for express deviations; an executed Project Collaboration Schedule for cross-company data authority; these Terms; applicable AUP, technical schedules and individual User Terms. A self-service checkout cannot unilaterally change a separately signed enterprise agreement.

2. Business eligibility and account authority

The person completing checkout represents that they can bind the business identified as Customer and select administrators, subscription modules and payment terms. SiteAxis may require confirmation of business identity and authority. An invitation to a project or permission to use a module is not proof of an independent power to purchase, cancel or delete another company's subscription or records.

3. Access and authorized collaboration

SiteAxis grants Customer a limited, nonexclusive, nonsublicensable access right for the applicable subscription term, subject to paid entitlements and lawful use. Customer may invite its employees, consultants, contractors, subcontractors and project-owner representatives to collaborate only where legally authorized. Assignments remain bounded by company, project, module and role. Customer is responsible for its instructions and invites, not automatically for an independent organization acting under another contract. Unique accounts, current authorized permissions and compliance with MFA requirements are mandatory.

4. Project content, ownership and evidentiary integrity

As between SiteAxis and each rights holder, the applicable rights holder keeps its existing legal rights in uploaded documents and project records; SiteAxis receives a limited licence to process them for providing and securing the subscribed Services, supporting lawful requests and fulfilling this agreement. SiteAxis does not adjudicate intellectual-property title between owners, general contractors, joint ventures or subcontractors. A participating organization's right to view or contribute does not confer authority to purge the shared project's history. Disputed deletion, confidentiality, litigation preservation or export instructions may require documented authorization and temporary restricted access.

The Customer remains responsible for validating submitted and exported information, completeness of statutory records, contractual notices, schedule baselines/P6/XER imports, calculations and safety determinations. SiteAxis is not a professional engineer, safety authority, financial auditor, legal representative or contractual administrator acting for Customer.

5. Pricing and payment

The selected plan, billing currency, authorized seats/projects/modules, trial terms and stated price appear in the confirmed checkout summary/invoice (To be confirmed: self service price page url). Renewal frequency is To be confirmed: self service renewal cadence and cancellation takes effect as set out in To be confirmed: self service cancellation effect. SiteAxis will disclose taxes, any auto-renewal and material price changes according to law and the chosen purchase flow. Payment processing may be managed by an approved billing service provider; currency, supported payment methods and any refund rights are those expressly stated in the applicable offer or agreement. Customer remains responsible for taxes not collected by SiteAxis and valid payment authority. Overdue payments may result in access restrictions after the documented and legally permitted notice/grace process; they do not authorize unreviewed deletion of project records.

6. Privacy, sensitive content and security

Processing of Customer Personal Data is governed by the DPA where incorporated or required and the published Privacy Policy for SiteAxis's own controller activities. The Services may capture construction-worker contact, injury/medical-attention, witness, photographic and location records; upload only appropriate work-related information and apply restricted access. The Customer must give legally required notices to workers and other persons. SiteAxis will apply documented security controls that have been verified for the subscribing environment; no unverified data-residency, certification, uptime or deletion claim is incorporated by implication.

7. Third parties, integrations and AI

Customer-authorized API connections and integrations are subject to the API Terms and relevant provider agreements. Optional AI functionality, if permitted, requires feature enablement and any applicable AI Addendum; outputs require human review and cannot substitute for safety, engineering, legal, contractual or financial decisions. The service may not provide every integration, export or model advertised in marketing materials.

8. Support, changes and availability

Support is supplied through To be confirmed: support channels during To be confirmed: support business hours for an active subscription, without a numeric SLA unless To be confirmed: online plan support schedule specifies one. SiteAxis may deliver reasonable maintenance, bug fixes, security patches and improvements. SiteAxis will notify Customer when a change materially and adversely affects a subscribed feature as required by contract or applicable law. Beta functionality may be changed, withdrawn or unavailable.

9. Confidentiality

Each party will protect non-public commercial, project and technical information received under the contract with reasonable care, use it only to fulfil permitted purposes and disclose it only to bound personnel/service providers with a need to know. Exceptions include information lawfully public, independently developed, already lawfully held or received without duty. Compelled disclosure requires legally permitted advance notice and reasonable cooperation. Privacy and shared-project rights may impose further limitations.

10. Warranty and disclaimers

SiteAxis will provide the expressly subscribed cloud software materially as described in the applicable active documentation, subject to written exceptions in the agreed Order. Customer remains responsible for field verification and independent professional judgement. Unless a written plan or mandatory law says otherwise, beta features and trials are provided without a paid-production service commitment. No software guarantees construction safety outcomes, regulatory compliance, on-time completion or absence of all defects.

11. Liability and indemnities

The proposed liability allocation, subject to agreement, is: general aggregate cap To be confirmed: online general liability cap, higher cap (if agreed) for specified data/security breaches To be confirmed: online data security supercap, excluded losses To be confirmed: online excluded loss categories, non-excludable matters To be confirmed: online liability carveouts, indemnity triggers To be confirmed: online indemnity scope. These terms remain unresolved in this draft. No term excludes liability that applicable law prohibits excluding. Customer must review whether its construction contracts impose non-delegable obligations; SiteAxis does not assume those obligations simply by hosting records.

12. Duration, suspension, cancellation and exit

Each subscription lasts for the confirmed subscription term, with renewal and cancellation based on the expressly disclosed plan. SiteAxis may narrowly suspend access for verified security threats, serious misuse, legally required action or significant nonpayment, with notice and correction opportunities appropriate to the risk. Where Customer seeks exports or termination, access is controlled by authorized roles, project ownership, the DPA and the actual operationally verified retention/export/deletion schedule (To be confirmed: customer exit policy version). No fixed deletion window is promised while that schedule is pending.

13. General terms

Each party will comply with laws applicable to its role. Amendments affecting negotiated commercial terms require an authorized writing; updates to online policies shall not retroactively alter signed terms. Notices: To be confirmed: notice email to SiteAxis, To be confirmed: customer notice contact to Customer. Governing law To be confirmed: governing province or state and exclusive forum To be confirmed: governing forum subject to mandatory law. Assignment, force majeure, severability, waiver, entire agreement and electronic contracting are subject to To be confirmed: standard boilerplate counsel approval; no U.S.-only arbitration/class waiver is adopted by default.

Acceptance record: Customer legal entity To be confirmed: customer legal name; accepting person To be confirmed: customer signer name; role/authority To be confirmed: customer signer authority; document hash To be confirmed: online terms hash; accepted at To be confirmed: agreement accepted at. Automated checkout must persist that evidence before these terms are operative.

Imported Schedule authority

For imported P6/XER schedules, the designated imported fields remain authoritative unless a different source is expressly agreed and enabled. Experimental CPM, shadow calculations, diagnostics and AI summaries do not replace that authority. Imported schedules may be read-only according to their source, configuration and permissions. Customers must independently validate baselines, calculations and exports before relying on them.
