Terms & Conditions

These Terms & Conditions govern access to and use of SiteAxis, including the SiteAxis website, application, modules, dashboards, records, exports, APIs, support workflows, and related services.

These Terms are intended for controlled trial and early customer readiness review. Final legal review is required before unrestricted public launch or commercial release.

1. Agreement to these Terms

By creating an account, accessing SiteAxis, accepting these Terms during signup, or using any part of the platform, you agree to be bound by these Terms.

If you use SiteAxis on behalf of a company, project owner, contractor, consultant, joint venture, government agency, or other organization, you represent that you have authority to accept these Terms on behalf of that organization. In that case, "you" and "your" refer to both you and that organization.

If you do not agree to these Terms, do not create an account or use SiteAxis.

2. SiteAxis service

SiteAxis is a cloud-based construction project controls platform designed to help project teams digitize field workflows, manage project records, track issues and actions, manage controlled documentation, and support audit-ready project evidence across construction and infrastructure projects.

SiteAxis may include modules for safety, quality, risk, schedule, commercial, permits, assets/equipment, documents, observations, corrective actions, daily reports, inspections, dashboards, exports, notifications, and administrative configuration.

Certain features may be in controlled trial, limited release, beta, disabled, or available only to specific roles, subscriptions, modules, projects, or companies.

3. Controlled trial status

SiteAxis may be made available through controlled public trial, private pilot, internal testing, or phased rollout gates.

During any controlled trial:

  • access may be limited to approved users or tenants;
  • invitations may be paused, resumed, limited, or revoked;
  • certain modules or features may be disabled;
  • API key creation may be disabled even where API documentation is visible;
  • runtime localization, AI processing, or other advanced capabilities may be disabled or restricted;
  • operational monitoring, support, rollback, and legal review requirements may apply.

Controlled trial access does not guarantee production availability, commercial availability, service continuity, final feature scope, or future pricing.

4. Eligibility and account registration

You must provide accurate account, company, and project information when registering or using SiteAxis.

You are responsible for:

  • maintaining the confidentiality of your login credentials;
  • using a secure password and approved authentication method;
  • promptly notifying SiteAxis or your organization administrator of suspected unauthorized access;
  • ensuring that only authorized users access your account;
  • keeping your account and profile information current.

You may not share accounts, impersonate another user, bypass authentication, or use another person's credentials.

5. Company, tenant, and project access

SiteAxis is a multi-tenant platform. Your access is limited to the companies, tenants, projects, modules, records, exports, and settings authorized by your assigned role, subscription, project access, lifecycle state, and applicable permissions.

You must not attempt to access another tenant, company, project, module, record, export, document, API, or administrative function unless you are authorized to do so.

Changing URLs, route paths, browser parameters, API filters, hostnames, tenant subdomains, project identifiers, record identifiers, or request payloads does not grant access.

SiteAxis may deny access, redirect, suspend activity, log security events, or apply rate limits where unauthorized access is suspected.

6. User roles and permissions

SiteAxis uses role-based and entitlement-based access controls. Available actions may vary by role, company, project, module, subscription, and lifecycle state.

Examples of controlled actions may include:

  • creating, editing, submitting, approving, closing, reopening, deleting, or exporting records;
  • managing users, roles, projects, formulas, checklists, integrations, billing, security settings, and API access;
  • importing schedules or documents;
  • accessing admin settings or platform operator tools;
  • creating or managing API keys;
  • viewing restricted reports, records, attachments, or dashboards.

Visible user interface controls are not the sole access control. Server-side enforcement applies even if a user attempts direct API access.

7. Acceptable use

You must use SiteAxis only for lawful, authorized, and appropriate business purposes.

You must not:

  • access or attempt to access data, systems, tenants, projects, or accounts without authorization;
  • interfere with, disrupt, test, scan, overload, or reverse engineer SiteAxis except as expressly authorized in writing;
  • upload malware, scripts, credential harvesters, spyware, or malicious content;
  • bypass security, rate limits, billing controls, subscription limits, role controls, approval workflows, or module restrictions;
  • use SiteAxis to violate laws, contracts, privacy obligations, employment obligations, export controls, or intellectual property rights;
  • submit false, misleading, fraudulent, defamatory, unlawful, or infringing content;
  • upload passwords, secrets, tokens, private keys, unapproved provider credentials, or signed URLs into support, bug, feature, or project fields;
  • use exports or APIs to build unauthorized shadow systems, scrape data, or bypass permissions;
  • resell, sublicense, or provide access to SiteAxis except as permitted by your agreement with SiteAxis.

8. Customer content

"Customer Content" means project records, attachments, forms, reports, schedules, risk records, quality records, safety records, documents, observations, corrective actions, permits, equipment records, comments, uploaded files, configuration data, and other content submitted to SiteAxis by or on behalf of a customer.

You retain ownership of Customer Content, subject to the rights granted to SiteAxis to operate, secure, support, improve, and provide the service.

You are responsible for:

  • ensuring you have the right to upload, process, share, and use Customer Content in SiteAxis;
  • configuring roles, permissions, projects, and modules appropriately;
  • reviewing exports before sharing externally;
  • avoiding upload of prohibited or unapproved information;
  • ensuring that Customer Content complies with your organization's policies and applicable law.

9. Sensitive content and controlled rollout restrictions

Unless your organization has approved production use and the relevant legal, security, and contractual controls are in place, you must not upload:

  • production customer data outside the approved rollout scope;
  • highly sensitive personal information;
  • passwords, access tokens, private keys, database URLs, API secrets, service credentials, webhook secrets, or provider payloads;
  • unredacted screenshots containing private customer records, credentials, or sensitive project information;
  • regulated records that your organization has not approved for SiteAxis use;
  • content subject to restrictions that prohibit cloud processing or third-party hosting.

Support, bug, and feature request forms are intended for safe product feedback only. They should not include private record contents, credentials, secrets, or sensitive screenshots.

10. Uploaded files and attachments

Where file upload is available, you are responsible for ensuring that uploaded files are lawful, appropriate, virus-free, and within the approved rollout scope.

SiteAxis may apply file type limits, file size limits, malware scanning, storage controls, access restrictions, signed URL expiry, audit logs, and other safeguards.

SiteAxis may reject, quarantine, remove, or restrict files that violate these Terms, applicable law, security controls, or product restrictions.

11. APIs, exports, and integrations

SiteAxis may provide read-only APIs, CSV exports, JSON exports, or integration features for authorized users.

API and export access is controlled by role, tenant, company, project, module, subscription, entitlement, lifecycle state, and API key configuration.

You are responsible for:

  • keeping API keys secure;
  • storing API keys only in approved secret stores;
  • not embedding API keys in public code, screenshots, browser code, client-side applications, shared documents, or emails;
  • rotating or revoking API keys if exposed;
  • using APIs only for authorized read-only analytics, reporting, integration, or business intelligence purposes;
  • respecting rate limits, filters, pagination, and scope restrictions.

SiteAxis may disable, revoke, rotate, throttle, or suspend API access if misuse, leakage, abuse, excessive usage, or unauthorized access is suspected.

API documentation may be restricted to authorized users. Public website pages are not the source of full API documentation.

12. Schedule data and imported P6/XER records

Where schedule functionality is available, imported P6/XER schedule fields may remain the official source of authority for imported schedules.

SiteAxis may provide native schedule features, diagnostics, shadow calculations, or future CPM capabilities. Unless expressly enabled and approved, experimental CPM or P6 parity logic must not be treated as official imported schedule authority.

Imported schedules may be read-only depending on module configuration, role, source, and approval state.

13. AI, automation, and generated content

SiteAxis may include or later introduce AI-assisted or automated features for document review, document generation, workflow assistance, or analytics.

AI features may be disabled, restricted, controlled by tenant settings, or subject to additional terms, privacy controls, usage limits, and audit requirements.

You are responsible for reviewing AI-assisted or automated outputs before relying on them. AI outputs should not be treated as professional, legal, engineering, safety, scheduling, contractual, or financial advice.

Do not submit secrets, credentials, sensitive customer records, or unapproved private content into AI features unless your organization has approved that use and the applicable controls are enabled.

14. Security

SiteAxis uses technical and organizational safeguards designed to protect the platform, including authentication, authorization, audit logs, rate limits, role controls, data scoping, secure download controls, and monitoring.

No system is completely secure. You are responsible for using SiteAxis securely and promptly reporting suspected vulnerabilities, unauthorized access, or security incidents.

You must not conduct penetration testing, vulnerability scanning, load testing, scraping, or security research against SiteAxis without prior written authorization.

15. Privacy

SiteAxis processes personal information and customer-controlled project information as described in the SiteAxis Privacy Policy.

By using SiteAxis, you acknowledge that personal information may be processed for account administration, authentication, authorization, security, support, audit, notifications, legal compliance, and service operation.

Where a customer acts as controller or business for Customer Content, SiteAxis may act as processor, service provider, or similar role depending on applicable law and the agreement in place.

16. Subscriptions, billing, and trials

Pricing, subscription limits, module entitlements, project limits, storage limits, user limits, trial duration, billing terms, and payment obligations may be set out in an order form, subscription page, invoice, or separate agreement.

During a free trial, SiteAxis may limit features, users, storage, projects, modules, API access, exports, support, or retention.

SiteAxis may suspend or limit access for unpaid fees, expired trials, cancelled subscriptions, abuse, security concerns, or violation of these Terms.

17. Downgrades, suspension, cancellation, and data access

If a subscription is downgraded, suspended, cancelled, expired, or not converted after trial, access to some modules, records, APIs, exports, attachments, administrative functions, or workflows may be restricted.

SiteAxis may provide a limited retention, export, or grace period depending on the applicable plan, agreement, or legal requirement.

Downgraded or closed modules may remain restricted to prevent unauthorized access or data leakage through linked records, search, exports, reports, APIs, dashboards, or attachments.

Deletion, anonymization, archival, or retention of data may be handled according to the Privacy Policy, Data Processing Addendum, customer agreement, and applicable law.

18. Support and product feedback

You may submit support requests, bug reports, feature requests, and feedback through approved SiteAxis channels.

You grant SiteAxis permission to use feedback, suggestions, or ideas to improve the service without obligation to compensate you, provided SiteAxis does not disclose your confidential information or Customer Content except as permitted by agreement or law.

Support channels must not be used to submit credentials, secrets, private customer data, sensitive screenshots, or unapproved project records.

19. Third-party services and providers

SiteAxis may integrate with third-party services such as authentication providers, hosting providers, payment processors, email providers, analytics tools, storage services, AI providers, or customer systems.

Third-party services may be subject to their own terms, privacy notices, processing agreements, configuration requirements, and availability.

SiteAxis is not responsible for third-party services outside its control, except as required by applicable law or contract.

20. Intellectual property

SiteAxis and its licensors retain all rights, title, and interest in the platform, software, design, workflows, user interface, documentation, trademarks, logos, service names, templates, algorithms, and related intellectual property.

Except for the limited right to use SiteAxis under these Terms, no rights are granted to you by implication or otherwise.

You must not copy, modify, distribute, reverse engineer, decompile, resell, or create derivative works from SiteAxis except as expressly permitted by law or written agreement.

21. Confidentiality

You may receive non-public information about SiteAxis, including product plans, security controls, pricing, roadmap details, beta features, documentation, or technical information.

You must protect confidential information and use it only for authorized purposes.

Confidentiality obligations do not apply to information that is publicly available without breach, already known lawfully, independently developed, or disclosed with written permission.

22. Availability and changes

SiteAxis may be updated, changed, suspended, limited, or discontinued at any time, especially during controlled trial or beta periods.

SiteAxis may perform maintenance, apply security updates, change features, modify workflows, adjust limits, or restrict access to protect the service, comply with law, or improve the platform.

SiteAxis does not guarantee uninterrupted or error-free operation.

23. Disclaimers

To the maximum extent permitted by law, SiteAxis is provided "as is" and "as available," especially during controlled trial, beta, or early access periods.

SiteAxis does not warrant that:

  • the service will be uninterrupted, secure, or error-free;
  • every defect will be corrected;
  • outputs, reports, exports, dashboards, or calculations will be complete, accurate, or suitable for a specific legal, contractual, safety, engineering, financial, scheduling, or regulatory purpose;
  • the platform will meet every customer requirement.

You are responsible for independent review, validation, and approval of records, reports, schedules, exports, and decisions made using SiteAxis.

24. Limitation of liability

To the maximum extent permitted by law, SiteAxis and its affiliates, officers, employees, contractors, and suppliers will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages, including loss of data, loss of business, loss of revenue, project delay, contractual penalties, or loss of goodwill.

To the maximum extent permitted by law, SiteAxis's aggregate liability arising out of or relating to the service will be limited to the amounts paid by the customer for the service during the period stated in the applicable order form or agreement. If no paid subscription exists, liability may be limited to a nominal amount to be confirmed by legal counsel.

Some jurisdictions do not allow certain exclusions or limitations, so some limitations may not apply.

25. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless SiteAxis from claims, damages, liabilities, losses, costs, and expenses arising from:

  • your Customer Content;
  • your use of SiteAxis in violation of these Terms;
  • unauthorized access caused by your failure to protect credentials or API keys;
  • your violation of law, third-party rights, or contractual obligations;
  • your misuse of exports, APIs, reports, or uploaded files.

26. Termination

SiteAxis may suspend or terminate access if:

  • you violate these Terms;
  • your trial or subscription expires;
  • payment is overdue;
  • your organization ends access;
  • required legal, billing, security, or support controls are not complete;
  • access creates security, legal, operational, or abuse risk.

Upon termination, your right to use SiteAxis stops immediately, except for any limited export, retention, or transition rights provided by agreement or law.

27. Governing law and disputes

The governing law, venue, and dispute process should be confirmed by legal counsel before unrestricted launch.

For draft purposes, these Terms are intended to be governed by the laws of the jurisdiction where the SiteAxis contracting entity is established, without regard to conflict-of-law principles, unless a separate written agreement states otherwise.

28. Changes to these Terms

SiteAxis may update these Terms from time to time.

If changes are material, SiteAxis may require users to accept the updated Terms before continuing to use the platform.

The version and acceptance timestamp may be recorded for audit and compliance purposes.
